1. About these Terms
These Terms of Service ("Terms") govern your access to and use of the Rukkab platform, including our website, mobile applications, and related services (together, the "Platform").
By creating an account, subscribing, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
Please read Section 5 (What Rukkab Is and Is Not) and Section 12 (Limitation of Liability) carefully. They define the limits of our responsibility to you.
2. Definitions
"Rukkab", "we", "us", "our" — Althiqa Alzarqa Company, CR No. 7050542989.
"Rider", "you", "your" — an individual who registers for, subscribes to, or uses the Platform.
"Transport Supplier" — an independent transport company, licensed by the Transport General Authority ("TGA") of the Kingdom of Saudi Arabia, which is contracted by Rukkab to perform transport services.
"Driver" — an individual employed or engaged by a Transport Supplier who operates the vehicle.
"Trip" — a single scheduled journey between a pickup point and a destination.
"Cluster" — a group of Riders travelling a shared route on a shared schedule, formed by the Platform.
"Minimum Viable Cluster" — the minimum number of confirmed Riders required for a Cluster to be activated and for service to commence.
"Subscription" — a recurring payment entitling a Rider to scheduled Trips within a Cluster for a defined period.
"Semester" — an academic term as defined by the Rider's educational institution.
3. Eligibility
To use the Platform, you must:
(a) be eighteen (18) years of age or older; (b) be female. Rukkab is a female-only transport service. This is a core characteristic of the service and is not a discretionary matter; (c) be an enrolled student at an educational institution served by Rukkab; (d) have the legal capacity to enter into a binding contract under the laws of the Kingdom of Saudi Arabia; (e) provide accurate and complete registration information and keep it current.
The Platform is not offered to persons under the age of eighteen (18). If you are under 18, you may not register for, subscribe to, or use the Platform. If we become aware that a Rider is under 18, we may suspend or terminate that account and cancel any associated Subscription in accordance with Section 14.
We may require verification of your age, gender, and student enrolment status at any time, and may suspend service pending verification.
4. Account Registration
4.1 You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.2 You must notify us immediately at support@rukkab.app if you become aware of any unauthorised use of your account.
4.3 You may not transfer, sell, or share your account or Subscription with any other person. Each Subscription entitles one named Rider to travel. A seat is personal to you and is not transferable.
4.4 Providing false information — including as to your age, gender, or enrolment status — is a material breach of these Terms and entitles us to terminate your account without refund.
5. What Rukkab Is and Is Not
This section is important. Please read it carefully.
5.1 Rukkab is a technology platform and transport intermediary. We aggregate Rider demand, form Clusters, plan routes and schedules, and contract with Transport Suppliers to perform Trips. We provide the software, the coordination, the scheduling, and the customer relationship.
5.2 Rukkab does not perform the transport itself. We do not own the vehicles. We do not employ the Drivers. Transport is performed by independent Transport Suppliers who are licensed by the TGA and who are responsible for:
- the vehicles used, including their roadworthiness, maintenance, insurance, and regulatory compliance;
- the Drivers, including their licensing, employment, screening, training, conduct, and supervision;
- the safe operation of the vehicle during the Trip;
- compliance with all applicable transport, traffic, labour, and safety laws and regulations.
5.3 Transport Suppliers are independent contractors, not employees, agents, partners, or joint venturers of Rukkab. Nothing in these Terms creates a relationship of employment, agency, partnership, or joint venture between Rukkab and any Transport Supplier or Driver.
5.4 Our commitments to you. While we do not perform the transport, we do not disclaim responsibility for what we control. We commit to:
- contracting only with Transport Suppliers holding valid TGA licences;
- requiring contractual standards of our Transport Suppliers relating to vehicle condition, driver conduct, and passenger safety;
- providing a means for you to report safety concerns, and acting on those reports;
- suspending or terminating Transport Suppliers who fail to meet the standards we require.
5.5 Nothing in this Section 5 operates to exclude any liability which cannot lawfully be excluded under the laws of the Kingdom of Saudi Arabia.
6. Cluster Formation and Service Commencement
6.1 Rukkab operates a shared, scheduled service. It is not an on-demand or ride-hailing service. Trips run on fixed routes at fixed times, shared with other Riders.
6.2 When you request a seat, you are placed into a proposed Cluster. A Cluster does not commence service until it reaches its Minimum Viable Cluster size.
6.3 Payment authorisation. When you commit to a seat, we place an authorisation hold on your payment instrument. This is not a charge. Funds are reserved but not taken.
6.4 Capture on confirmation. If and when your Cluster reaches Minimum Viable Cluster size and is confirmed, we capture the authorised amount and your Subscription begins.
6.5 Release on non-formation. If your Cluster does not reach Minimum Viable Cluster size, the authorisation hold is released and you are charged nothing. The time taken for the release to appear on your statement is determined by your bank or card issuer and is outside our control.
6.6 We do not guarantee that any proposed Cluster will reach Minimum Viable Cluster size, or that a Cluster will be available on any particular route, at any particular time, or for any particular institution. Cluster formation depends on Rider demand.
6.7 We may modify a Cluster's route, schedule, pickup points, or assigned Transport Supplier where operationally necessary. Where a modification materially affects your Trip, we will notify you in advance where reasonably practicable, and Section 9.3 may apply.
7. Subscriptions, Pricing, and Billing
7.1 Subscriptions are billed on a recurring basis for the Semester or period stated at the point of purchase. Pricing is displayed before you commit and may vary by route, distance, schedule, and Cluster composition.
7.2 Prices are stated in Saudi Riyals (SAR) and are inclusive or exclusive of Value Added Tax as indicated at the point of purchase.
7.3 Payment is processed by our third-party payment processor. We do not store your full payment card details. Your use of the payment processor is subject to its own terms.
7.4 You authorise us to charge your payment instrument on a recurring basis for the duration of your Subscription until it is cancelled in accordance with Section 8.
7.5 Failed payment. If a recurring payment fails, we may retry it. If payment cannot be collected, we may suspend your seat. Suspension of a seat may result in the loss of that seat to another Rider.
7.6 We may change our prices. Price changes will not affect a Subscription already paid for in the current billing period, and we will give you notice before a changed price applies to a renewal.
8. Cancellation and Refunds
8.1 Before Cluster confirmation. You may withdraw your seat request at any time before your Cluster is confirmed. No charge is made and any authorisation hold is released.
8.2 After Cluster confirmation. Because Rukkab commits capacity to Transport Suppliers on a fixed contractual basis once a Cluster is confirmed, cancellation after confirmation is subject to the refund policy set out below.
8.3 Refund policy.
(a) Voluntary non-use. Once your Cluster is confirmed, your seat is reserved and the capacity to carry you is committed to a Transport Supplier for the full period, whether or not you travel. Accordingly, choosing not to use the service, missing Trips, or being absent does not entitle you to any refund, credit, or reduction. Your Subscription pays for the availability of the seat, not for the number of Trips you take.
(b) Voluntary cancellation. Cancelling your Subscription after your Cluster has been confirmed does not entitle you to a refund of the current billing period.
(c) Loss of student status. If you cease to be an enrolled student — because you withdraw from your course, are terminated by your institution, or otherwise lose enrolled status — you may apply to us for a partial refund.
Any such refund is at Rukkab's sole discretion, and in exercising that discretion we will take into account:
- the transport capacity already committed and paid for on your behalf to the Transport Supplier for the remainder of the period;
- the effect on the viability of your Cluster and on the other Riders travelling in it;
- the portion of the period remaining at the date you notify us;
- any evidence you provide of the change in your enrolment status.
We may grant a full refund, a partial refund, a credit, or no refund. Nothing in this clause creates an entitlement to a refund.
(d) To apply under clause (c), contact support@rukkab.app with evidence of the change in your enrolment status.
(e) Exceptional circumstances. We may, at our discretion, consider a refund in cases of serious illness or other exceptional personal circumstances. The same considerations at clause (c) apply.
8.4 Cancellation by Rukkab. If we cancel a Cluster or discontinue a route, we will refund the unused portion of your Subscription on a pro-rata basis.
8.5 Refunds are made to the original payment instrument.
9. Service Delivery and Interruptions
9.1 We will use reasonable efforts to ensure Trips run as scheduled. However, transport is subject to conditions outside our control, including traffic, weather, road closures, accidents, vehicle breakdown, driver illness, and acts of public authorities.
9.2 We do not guarantee that any individual Trip will depart or arrive at a specific time. Scheduled times are estimates.
9.3 Material service failure. Where we fail to provide a Trip that was scheduled, and the failure is attributable to Rukkab or a Transport Supplier (and not to your own absence, lateness, or conduct), we will provide a remedy in accordance with our service standards, which may include a service credit or compensation.
9.4 We do not operate during periods when the relevant academic institution is not in session, on public holidays, or outside the Semester dates for your institution, except where expressly stated.
9.5 No Trip will be provided where doing so would be unsafe, unlawful, or contrary to the direction of a competent public authority.
10. Rider Conduct
10.1 You must:
- be present at your designated pickup point at the scheduled time. Vehicles operate on a shared schedule and cannot wait indefinitely;
- treat the Driver, the vehicle, and other Riders with respect;
- comply with all lawful instructions of the Driver relating to safety;
- wear a seatbelt where fitted;
- not consume food or beverages that risk soiling the vehicle, where prohibited;
- not smoke or vape in the vehicle;
- not damage the vehicle or its contents;
- not bring any unlawful item into the vehicle;
- not permit any other person to travel in your place.
10.2 You must not use the Platform to harass, abuse, threaten, or endanger any Driver, Rider, or Rukkab personnel.
10.3 We may suspend or terminate your account, without refund, for material or repeated breach of this Section 10.
10.4 Reporting. If you experience any conduct by a Driver or another Rider that causes you concern, you should report it to us immediately through the Platform or at +966 53 957 6187. We take such reports seriously and will investigate.
11. Safety
11.1 Your safety is central to the purpose of this service. If at any time you feel unsafe, you are not required to board or remain in a vehicle.
11.2 In an emergency, contact the relevant emergency services first. Then notify us.
11.3 You should not board a vehicle that does not match the vehicle and Driver details shown in the Platform for your Trip. If the vehicle or Driver does not match, do not board, and report it to us immediately.
11.4 Nothing in these Terms requires you to act in a way that you reasonably believe compromises your safety.
12. Limitation of Liability
12.1 To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia:
(a) Rukkab provides the Platform and the coordination of transport services. Rukkab is not the carrier and does not perform the transport. Liability arising from the physical operation of a vehicle — including road traffic accidents, personal injury occurring in the course of carriage, vehicle condition, and Driver conduct in operating the vehicle — rests with the Transport Supplier and its insurers, and is covered by the insurance that the Transport Supplier is required by law and by contract to maintain.
(b) Rukkab is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, loss of opportunity, loss of academic standing, or missed examinations, appointments, classes, or engagements, howsoever arising.
(c) Rukkab's total aggregate liability to you arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you to Rukkab in the twelve (12) months preceding the event giving rise to the claim.
12.2 What is not excluded. Nothing in these Terms excludes or limits liability:
- for death or personal injury caused by our own negligence;
- for fraud or fraudulent misrepresentation;
- for any liability which cannot lawfully be excluded or limited under the laws of the Kingdom of Saudi Arabia.
13. Indemnity
You agree to indemnify and hold harmless Rukkab, its officers, employees, and contractors against any claim, loss, damage, liability, or expense (including reasonable legal fees) arising out of:
(a) your breach of these Terms; (b) your misuse of the Platform; (c) your violation of any law or the rights of any third party; (d) any damage you cause to a vehicle or to the property of a Transport Supplier, Driver, or other Rider; (e) any false information you provide, including as to your age, gender, or enrolment status.
14. Suspension and Termination
14.1 We may suspend or terminate your account and Subscription, with or without notice, if:
- you materially breach these Terms;
- you provide false registration information;
- you do not meet, or cease to meet, the eligibility criteria in Section 3;
- your conduct endangers or threatens any person;
- we are required to do so by law or by a competent authority.
14.2 Where termination is for your breach, no refund is due.
14.3 You may terminate your account at any time, subject to the refund provisions in Section 8.
14.4 We may discontinue the Platform, or any route or service, on reasonable notice, refunding any unused portion of your Subscription.
15. Intellectual Property
The Platform, including its software, design, trademarks, and content, is owned by Rukkab and is protected by law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works from the Platform.
16. Privacy
Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms.
17. Changes to these Terms
We may amend these Terms. Where an amendment is material, we will give you reasonable notice before it takes effect. Continued use of the Platform after the effective date of an amendment constitutes acceptance. If you do not accept an amendment, you may terminate your account in accordance with Section 14.3.
18. Governing Law and Dispute Resolution
18.1 These Terms are governed by the laws of the Kingdom of Saudi Arabia.
18.2 Contact us first. If you have a complaint or dispute, please raise it with us directly at support@rukkab.app. We will acknowledge your complaint and work with you in good faith to resolve it. Most matters can be settled this way, and we would rather settle them this way.
18.3 Where a dispute cannot be resolved between us, it shall be subject to the jurisdiction of the competent courts of the Kingdom of Saudi Arabia.
19. General
19.1 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
19.2 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
19.3 Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rukkab regarding the Platform.
19.4 Language. These Terms are published in English and Arabic. In the event of any conflict, the Arabic version prevails.
